CONDITIONS GÉNÉRALES DE VENTE ET D’UTILISATION

1. Purpose and Scope

These General Terms and Conditions of Sale and Use (“GTC/GU”) govern relations between Medical Process and professional customers (“the Client”).
Medical Process designs and manufactures medical equipment distributed internationally.
All quotation requests and orders imply full acceptance of these terms.

2. Quotations and Orders

Sales are made exclusively upon quotation.
Quotations are valid for the period specified and become binding once accepted in writing by the Client.
Medical Process reserves the right to refuse or delay an order for legitimate reasons.

3. Prices and Payment Terms

Prices are stated in euros, excluding taxes.
Payment terms and deadlines are defined in each quotation.
Late payment penalties apply in accordance with French law.

4. Delivery

Deliveries are available worldwide.
Terms, costs, and Incoterms (EXW, CIF, etc.) are specified in the quotation.
Delivery times are indicative only.

5. Warranty

All Medical Process products are covered by a two (2)-year manufacturing warranty, extendable to five (5) years under specified conditions.
The warranty covers manufacturing defects only, excluding normal wear, misuse, or improper installation.

6. Liability

Medical Process shall not be liable for any damages caused by improper use, faulty maintenance, or incorrect installation.
Its responsibility is limited to repair or replacement of the defective product.

7. Intellectual Property

All designs, plans, and technical documents remain the exclusive property of Medical Process.
They may not be reproduced or disclosed without prior written consent.

8. Confidentiality

All information exchanged between Medical Process and the Client is strictly confidential and may not be shared with third parties without written authorization.

9. Governing Law and Jurisdiction

These GTC/GU are governed by French law.
Any dispute shall be submitted to the exclusive jurisdiction of the courts of Marseille, France.
